Job Responsibilities
North Wind Group, a CIRI Company, is seeking a full-time Vice President and General Counsel in the Idaho Falls, Idaho corporate office. This position serves as the chief legal representative for North Wind Group and its subsidiaries (the “Company”). Subject to consultation with and oversight by the Chief Operating Officer, the Vice President and General Counsel is responsible for developing and implementing the environmental, safety, health, and quality (ESH&Q) programs for the Company. The position is responsible to protect the assets and operations of the Company. Ensures that all practices, policies, procedures and business activities of the Company fall within the bounds of the organization’s risk posture. 

RESPONSIBILITIES

1. Provides general legal advice to the NWG President and Chief executive Officer, the CIRI Development Corporation (CDC) Board of Directors, and the NWG subsidiaries and departments. 
* Oversees outside counsel and provides guidance in ordinary and special activities to ensure maximum protection of its legal rights and to maintain its operations within the limits prescribed by law.
* Prepares, analyzes and negotiates contracts and other legal agreements.
* Provides legal advice regarding employment matters.
* Supervises and directs litigation and non-litigation matters regarding claims on behalf of and asserted against the Company, including the analysis and negotiation of settlement.
* Provides ongoing review of current policies and procedures for compliance with law and to minimize the Company’s exposure to liability, including oversight of the Company’s corporate compliance program.
* Supervises and directs the Company’s representation in regulatory matters, including environmental actions, initiated against the Company.
* Supervises the preparation of reports and other statements of a legal nature, advises the Board of Directors on matters of corporate governance and oversees the Company’s corporate compliance program.

2. Develops a risk management plan to include:
* Short- and long-term objectives
* Identifies potential regulatory compliance obligations
* Establishes an audit/review schedule,
* Develops communication techniques to ensure compliance
* Analyzes risk exposure for potential new contracts and/or business 

3. Responsible for the overall Environmental, Safety, Health and Quality (ESH&Q) Assurance program for the Company.
* Develops policies and procedures for the ESH&Q Program.
* Develop, implement and maintain safety program for the Company, including internal policies and procedures, to ensure compliance with state and federal laws and regulations of applicable regulatory agencies.
* Develop and implement strategic ESH&Q plan based upon operational needs to ensure program effectiveness.
* Serve as the primary Company contact for all safety-related matters, including emergency preparedness and response.
* Analyze incident reports and recommend appropriate action to offset trends.
* Develop schedule and procedures for training employees.
* Coordinate and perform audit/reviews to test compliance with established laws, regulations and policies. 
* Ensures competitive corporate quality programs for corporate facilities (e.g., VPP, or ISO)

4. Provide leadership and direction to staff within area of responsibility, including performance management.

5. Assists in proposal development when necessary.

6. Responsible for the development and administration of operating and capital budget within areas of responsibility.

7. Performs other duties as are appropriate and as assigned. 
Qualifications
QUALIFICATIONS

• Understanding the components of the litigation process and ability to supervise outside counsel conducting litigation. 
• Understanding the components of and contributing to the preparation of legal agreements.
• Broad knowledge and experience in environmental regulatory requirements, occupational safety and health, and general quality requirements within the industry.
• Ability to use legal advice to assist in business decision-making.
• Ability to negotiate agreements and settlements. 
• Leadership, management and supervisory skills.
• Ability to quickly become familiar with new industry and regulatory information and apply such information. 
• Ability to work effectively with a wide variety of professionals, as well as with corporate management and staff.
• Ability to research and analyze complex and technical issues.
• Strong oral and written communication skills with an emphasis on the presentation of materials in a meaningful manner to the ultimate decision makers.
• Demonstrated knowledge of: Environmental regulatory requirements, and Occupational, Safety and Health Administration regulatory requirements. 
• Demonstrated experience in: Occupational safety and health program management and in environmental compliance matters.
• For handling of legal matters, needs requisite experience as senior legal counsel or General Counsel.
• Specialized training and general understanding of industrial hygiene monitoring strategies and general training in environmental sampling and monitoring.


MINIMUM EXPERIENCE
J.D. or L.L.M. from top quality law school and strong academic record. Bachelors of Science in Engineering or other technical degree and fifteen years progressively more responsible work experience in environmental, health, safety and risk management; or any combination of training and experience that provides the required skills, knowledge and abilities. Certifications as a Certified Safety Professional, Certified Industrial Hygienist and Professional Engineer preferred.
