Mainstream Energy Corporation is a integrated renewable energy company involved in the development of products, systems, projects and businesses that have the potential to help make photovoltaics - solar-generated electricity - a significant contributor to our total energy supply.Position Summary:

 

The Director of Legal provides in-house advice and counsel to help drive our business as we continue to expand. Reporting to the CFO, this person will work closely with the executive team.  The position will provide the executive team advice and guidance on a broad range of matters in order to mitigate risk.

 
Duties and Responsibilities:
-      Draft, review, negotiate and manage all legal contracts including Vendor Agreements, Sales Contracts, Employment Agreements, Confidentiality Agreements, Non-Disclosure Agreements, etc.
-      Work with sales to improve and streamline customer contracts to reduce overhead and complexity.
-      Support sales in reviewing RFPs and negotiating contract terms to assess risk and determine where to give and when to walk away.
-      Work with operations to insure compliance on all contracts including government contracts.
-      Selection, retention, management and evaluation of outside counsel.
-      Structure and manage the company’s internal legal function and staff, including Contracts Manager, Contracts Administrator and Legal Administrator.
-      Participate in the definition and development of corporate policies, procedures and programs and provide continuing counsel and guidance on legal matters.
-      Be directly involved in complex business transactions and in negotiating critical sales channel/partner and vendor contracts.
-      Judge the merits of claims filed against or on behalf of the company, work with the appropriate executives to define a strategic approach and approve settlements of disputes where warranted.
-      Work with outside counsel to either settle or litigate any legal matters brought against the company or brought by the company against others.
-      Identify areas of legal risk within the company and work with the management team to create process and procedures to manage risk.
-      Manage patent, trademark, and other intellectual property needs for the company.
-      Serve as Corporate Secretary for corporate entities, insure timely filling of corporate reports and maintain the corporate minute books, records, stock ledgers, etc.
-      Typical time allocation:
-      40% Support sales with sales contracts, terms & conditions, etc.
-      10% General management (budgets, reviews, etc.)
-      10% Anticipate and mitigate potential risk claims, etc.
-      10% Employment related 
-      10% Contract compliance
   10% Corporate Secretary related


Requirements:
            Law degree; JD with MBA be a plus;
•           6-10 years of practical corporate and business law experience;
•           Pragmatic approach to business and law;
•           Understanding of sales processes and contract negotiation;
•           Strong verbal and written communication skills;
•           Strong level of attention to detail;
•           Experience in contract law and employment law;
•           Self-assured and confident in a variety of settings with a strong belief in own
•           capabilities;
•           Experience managing other attorneys and supervising support staff in a corporation is required as well as   experience with cost effective management of outside legal resources;
•           Familiarity with government contracting, procurement and compliance.
•           Familiarity with construction law and/or energy projects
•           Able to make business decisions.
•           Prior management experience.
