Director, Corporate and Legal Affairs

Job Location:

Purpose: 

Provide direct support to the Executive Office on organizational corporate registration and legal affairs. Legal generalist to work closely with the CEO, senior management, outside legal counsel and employees at all levels of the organization. Ensure that IFAW’s multiple corporate entities remain compliant and provide legal risk management to the Organization. Operationalize appropriate corporate and legal SOPs and help departments and country offices to optimize the use of outside legal services.

Responsibilities: 
  • Governance: Prepare, present and file resolutions of the Board of Directors.   Prepare legal documents requiring signature approval from the Board of Directors. Maintain a calendar of terms in office for all Directors; manage the legal procedure for new Board appointments and/or resignations for all IFAW entities.  Act as Parliamentarian for Board Meetings and serve as Assistant Clerk for corporate entities as appropriate.
  • Corporate registration: Maintain and review corporate documents to ensure compliance in each of the IFAW jurisdictions. Monitor and research corporate and legal registration requirements and compliance regimes for IFAW presences in existing and prospective markets. Coordinate and/or monitor collection and submission of data/documentation to regulatory authorities, including annual conflict of interest declarations.
  • Legal Risk Management:  Monitor and communicate current and future organizational legal risks.  Assist departments and country offices with legal questions and provide staff education on priority legal issues.  Work closely with departments and country offices to develop or revise SOPs related to corporate compliance and legal affairs.  Review and recommend updates to templates for contracts, Memoranda of Understanding, and other frequently utilized obligating documents.  Provide legal review for specific contracts and agreements upon request. Ensure proper tracking and reporting of contracts and MOUs.
  • Legal Services:  Monitor organization-wide legal services usage and expenses to identify both needs and efficiencies.  Establish and manage a sustainable pro bono legal resource program.
Requirements: 
  • Juris Doctorate degree (or its equivalent) and admittance to bar in Massachusetts
  • Minimum 2 -3 years’ experience in a law firm or in the legal department of a company or NGO
  • Experience researching and effectively communicating corporate and legal matters to a lay audience
  • Strong MS Office skills, interpersonal/communication skills, critical thinking skills required
  • Not-for-profit legal experience strongly preferred
  • International experience and fluency in one or more foreign languages, including French, highly desirable
  • Notary Public preferred
